Proxies for the AdvisorOne Funds
CLS Investment Firm, LLC (“CLS”) serves as investment adviser to certain
investment companies under the AdvisorOne Funds trust (each a “Fund”).
Each Fund is a fund of funds, meaning these Funds pursue their investment
goals by investing primarily in other investment companies that are not
affiliated (“Underlying Funds”). As a fund of funds, the Funds are required
by the Investment Company Act to handle proxies received from Underlying
Funds in a certain manner. In particular, it is the policy of CLS to
vote all proxies received from the Underlying Funds in the same proportion
that all shares of the Underlying Funds are voted, or in accordance with
instructions received from Fund shareholders, pursuant to Section 12(d)(1)(F)
of the Investment Company Act. All proxies received from Underlying Funds
will be reviewed with the Chief Compliance Officer or appropriate legal
counsel to ensure proper voting. After properly voted, the proxy materials
are placed in a file maintained by the Chief Compliance Officer for future
reference.
